Terms of Service

本条款是用户（下称“用户”或“您”）与青橙造物之间的协议，青橙造物将按照本条款约定之内容为您提供服务。“青橙造物”是指北京青橙造物网络科技有限公司、sunwu.zone 和/或其可能存在的相关服务运营关联单位。Your use of the service will be considered as full acceptance of allcontents of these terms and subsequentmodifications to the terms. Please read all terms and conditions of these terms carefully.

If you are a minoror a person with limited civil capacity, please read and decide whether to agree to these terms with the accompaniment of your legal guardian. Minorsor persons with limited civil capacityexercising and fulfilling rights and obligations under these terms are deemed to have obtained guardian approval.

1.Registration and Account

1.1.To register and use the services provided by Qingcheng Zaowu, you need to create a username and password, and provide us with the information required during the registration process. You promise to provide complete and accurate information during registration and agree to update your information promptly to ensure its accuracy. You are responsible for always ensuring the security of your account and are fully responsible for any activities conducted by anyone using your account. If you believe your account has been accessed without authorization, or your account information is lost or stolen, you should contact us immediately.

1.2.If you use the services provided by Qingcheng Zaowu as an employee, contractor, or agent of an entity, you must have sufficient authorization to represent that entity and ensure that the entity is bound by these terms.

2.Use of Services

2.1.You may access and use the services provided by Qingcheng Zaowu according to these terms. If your use of Qingcheng Zaowu services does not comply with these terms or the applicable laws and regulations in your and/or Qingcheng Zaowu's location, Qingcheng Zaowu has the right to take independent action, including disabling your account without prior notice and/or user consent.

2.2.You declare, warrant, and promise to us that you will not engage in any of the following behaviors:

a)Using Qingcheng Zaowu services to store, transmit, publish, or provide any content that is false, defamatory, harassing, obscene, illegal, infringing on privacy rights or any other third-party rights, or contains viruses, malware, or any other malicious code;

b)Accessing or using Qingcheng Zaowu services for any illegal purpose or any purpose that violates these terms;

c)Using Qingcheng Zaowu services to cause damage or harm to any person or property;

d)Using Qingcheng Zaowu services to build similar or competing products or services;

e)Uploading, publishing, or otherwise transmitting content that infringes on anyone's intellectual property rights such as patents, trademarks, copyrights, trade secrets, etc.;

f)Reverse engineering, decompiling, disassembling, or extracting any source code, object code, software programs, processes, algorithms, methods, techniques, data, or information contained in Qingcheng Zaowu services, using data collection or extraction tools, or otherwise discovering any source code, object code, software programs, processes, algorithms, methods, techniques, data, or information;

g)Interfering with or hindering other users' normal use or enjoyment of Qingcheng Zaowu services;

h)Tampering with, invading, or otherwise damaging any computer systems, servers, or network equipment of Qingcheng Zaowu;

i)Removing or destroying any proprietary marks or proprietary legends appearing in Qingcheng Zaowu services; or

j)Attempting to engage in any of the above prohibited activities. (The foregoing items are collectively referred to as "Prohibited Activities")

If a user's behavior or uploaded content contains the above violations of policies, laws, and regulations, the user shall directly bear all adverse consequences resulting therefrom. If this causes adverse consequences to Qingcheng Zaowu, the user shall be responsible for eliminating the impact and compensating for all losses caused thereby.

2.3.You acknowledge and agree that Qingcheng Zaowu may engage third-party service providers to provide services related to the content of the services provided by Qingcheng Zaowu.

2.4.You agree that Qingcheng Zaowu may collect and use non-personal, anonymous, aggregated, statistical, performance, or de-identified data, as well as other performance information for legitimate business purposes, such as support, reporting, research, improving Qingcheng Zaowu's services, industry cooperation, and other legitimate internal business purposes.

2.5.If you obtain or use any third-party products or services during your use of Qingcheng Zaowu services, you need to independently evaluate these products or services to determine whether they meet your requirements. The use of such third-party products or services is limited to between you and the applicable third party, and Qingcheng Zaowu assumes no responsibility for such third-party products or services.

3.Fees and Payment

3.1.You can subscribe to and use the cloud services provided by Qingcheng Zaowu through recharge or other payment methods. Qingcheng Zaowu will calculate your usage of the cloud services provided by Qingcheng Zaowu based on traffic or time and bill accordingly. You hereby authorize Qingcheng Zaowu (or our designated personnel) to charge you corresponding fees according to the agreed-upon traffic or time statistics. The specific charging amount may vary depending on the quantity of Qingcheng Zaowu services you use. Such payment obligations are non-cancellable, and all paid amounts are non-refundable. We may adjust Qingcheng Zaowu's fees and charging methods by updating these terms and related systems.

3.2.Before starting to use the cloud services provided by Qingcheng Zaowu, you need to provide us with certain financial information, which will be used solely for billing and payment purposes.

3.3.You agree to compensate Qingcheng Zaowu for any business tax, value-added tax, or other similar taxes that Qingcheng Zaowu must pay according to applicable laws based on the cloud services you subscribe to. If Qingcheng Zaowu has a legal obligation to pay or collect taxes that you should bear according to this Article 3.3, Qingcheng Zaowu will issue an invoice to you, and you will pay such amount to Qingcheng Zaowu. Unless otherwise required by applicable law, taxes should not be deducted from payments made to Qingcheng Zaowu. In such cases, you will increase the payable amount as needed so that after all necessary deductions and withholdings, the amount received and retained by Qingcheng Zaowu equals the amount it would have received without such deductions or withholdings. Additionally, you will pay Qingcheng Zaowu reasonable expenses related to providing cloud services as needed, such as transaction fees charged by banks during payment to Qingcheng Zaowu. Unless otherwise expressly specified in these terms, all fees and expenses paid to Qingcheng Zaowu are non-refundable.

3.4.Any overdue payment will incur a late payment penalty calculated at 0.05% of the daily payable amount.

3.5.Without making payments, you can freely use the functions and content within the scope of free services provided by Qingcheng Zaowu for you.

4.Service Changes, Interruption, Termination

4.1.You understand and agree that based on adjustments to business strategies, Qingcheng Zaowu may change service content, and may also interrupt, suspend, or terminate services. If Qingcheng Zaowu undergoes mergers, divisions, acquisitions, or asset transfers, Qingcheng Zaowu may transfer relevant assets under this service to third parties; Qingcheng Zaowu may also, after unilateral notice to you, transfer part or all of the services and corresponding rights and obligations under these terms to third parties for operation or performance.

4.2.You can notify us at any time by sending an email to dev.relation@sunwu.zone to delete or directly delete all clusters you created using cloud services and terminate these terms.

4.3.If either party violates these terms and fails to correct the breach within thirty (30) days after receiving written notice from the non-breaching party, the breaching party constitutes a default, and the non-breaching party may terminate these terms at or after the expiration of such remedy period. If Qingcheng Zaowu terminates these terms according to this article, you must pay all accumulated amounts up to (including) the termination date, as well as all unpaid amounts for cloud services subscribed under these terms, plus any applicable taxes and fees, within thirty (30) days. The non-breaching party may, at its discretion, extend the thirty (30)-day remedy period as long as the breaching party continues to make reasonable efforts to remedy such breach.

4.4.Specifically, if the remaining balance in your account is insufficient to pay for the services you have subscribed to, we have the right to interrupt such services and retain relevant data for you for thirty (30) days. If you still fail to replenish the relevant fees after the thirty (30)-day period expires, we will delete the relevant data. If there are still unpaid amounts at that time, you still need to continue fulfilling your payment obligations.

4.5.If you experience any of the following situations, Qingcheng Zaowu reserves the right to immediately suspend your access to or use of cloud services or terminate these terms without further notice:

a)We believe that the functionality, security, integrity, or availability of Qingcheng Zaowu cloud services or other customers of Qingcheng Zaowu are significantly threatened, including Qingcheng Zaowu cloud services experiencing DDoS attacks or other attacks or disruptions beyond our control;

b)We believe you have engaged in prohibited activities as stipulated in Article 2.2;

c)We need to do this to comply with legal or government agency requirements;

d)We believe you are no longer in normal operating condition, have transferred or similarly disposed of assets for the benefit of creditors, or have become the subject of any bankruptcy, reorganization, liquidation, dissolution, or similar proceedings.

To the extent reasonably feasible and permitted by law, Qingcheng Zaowu will notify you in advance of any such interruption or termination. After we determine that the issue causing the suspension has been resolved, Qingcheng Zaowu will make reasonable efforts to re-establish Qingcheng Zaowu cloud services as soon as possible. Any interruption or termination according to this Article 4.4 does not relieve you of your obligation to pay according to these terms; for clarity, no usage fees are incurred during any such interruption period.

4.6.After termination of these terms, the following parts remain effective: Articles 3.1 to 3.4, Articles 5.3 to 5.4, Article 8, and Article 11.

5.Intellectual Property

5.1.The visual interfaces, graphics, designs, compilations, information, data, computer code (including source code or object code), products, software, services, and all other elements of the website provided by Qingcheng Zaowu ("Materials") are protected by international copyright conventions, the Copyright Law of the People's Republic of China, Patent Law, and other laws and regulations related to intellectual property rights. All materials provided by Qingcheng Zaowu are the property of Qingcheng Zaowu or its third-party licensors.Provided that you comply with theseterms, we hereby grant you a limited, revocable, non-exclusive, non-public, non-transferable, worldwide license toaccess and use Qingcheng Zaowu'scloud services in accordance with theprovisions of these terms.The intellectual property rights owned and enjoyed by Qingcheng Zaowu will not be transferred due to any use by users.

5.2.The original data you publish or create on Qingcheng Zaowu belongs to you, and you have the right to dispose of it in any form, including copying, exporting, and deleting it from the platform. You hereby agree that we may use the content you publish or create to: a) provide you with cloud services under these terms; b) prevent or resolve technical issues related to cloud services; c) otherwise fulfill obligations stipulated in these terms; and d) meet the requirements of applicable laws. Unless we obtain your consent, Qingcheng Zaowu will not arbitrarily use, modify, copy, publicly disseminate, alter, distribute, issue, or publicly publish your intellectual property achievements.

5.3.You declare and warrant to us that the content you publish or create on Qingcheng Zaowu-related platforms does not violate these terms, any applicable laws, or any third party's intellectual property or other rights. If any claims arise from infringement of third-party rights by the content you publish or create, or if Qingcheng Zaowu suffers losses as a result, you shall be responsible for eliminating the negative impact on Qingcheng Zaowu and compensating for all losses it incurs.

5.4.Regardless of any contrary agreement, Qingcheng Zaowu may collect service data to develop, support, modify, improve, and operate its products and services (including but not limited to cloud services). Qingcheng Zaowu will not share any service data containing your confidential information with third parties, unless a) permitted under Article 9 (Confidentiality) of these terms, or b) the service data is aggregated or anonymized so that you cannot be identified.

6.Privacy Policy

6.1.Qingcheng Zaowu values the protection of users' personal information and privacy. When you download, install, launch, browse, register, log in, or use Qingcheng Zaowu's products and/or services, Qingcheng Zaowu will process and protect your personal information in accordance with the "Qingcheng Zaowu Privacy Policy" published on the platform. Therefore, we hope you can carefully read and fully understand the entire text of the "Qingcheng Zaowu Privacy Policy" and, when necessary, make appropriate choices according to the guidance of the "Qingcheng Zaowu Privacy Policy".

6.2.You should use Qingcheng Zaowu's products and/or services after carefully reading and fully understanding the "Qingcheng Zaowu Privacy Policy". If you do not agree with the content of the policy, it may cause Qingcheng Zaowu's products and/or services to fail to operate normally, or fail to achieve the service effects intended by Qingcheng Zaowu. Your use or continued use of the products and/or services provided by Qingcheng Zaowu indicates that you fully understand and agree to all contents of the "Qingcheng Zaowu Privacy Policy" (including updated versions).

7.Export Control

You promise to comply with the export control laws and regulations of the United Nations, China, the United States, and other countries applicable to these terms, and will not use the services or products provided by Qingcheng Zaowu for purposes prohibited by applicable export control laws and regulations. Without permission from relevant authorities, you and other individuals or entities authorized by you to use Qingcheng Zaowu services or products will not provide controlled technology, software, or services to entities or individuals prohibited by applicable export control laws and regulations through Qingcheng Zaowu's services or products.

8.Limitation of Liability

8.1.To the maximum extent permitted by law, Qingcheng Zaowu shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including damages for loss of profits, loss of goodwill, or any other intangible losses) arising from or related to your access to or use of, or inability to access or use, Qingcheng Zaowu's services under any circumstances.

8.2.To the maximum extent permitted by law, Qingcheng Zaowu's total liability to you shall be limited to direct losses you suffer, and compensation shall be within the amount you have paid to Qingcheng Zaowu.

9.Confidentiality

Qingcheng Zaowu promises to take confidentiality measures for information you submit or become aware of when registering an account or using Qingcheng Zaowu's product services, and will not disclose your information to third parties, unless:

a)Permitted under these terms or other service agreements, contracts, online terms, etc. between you and Qingcheng Zaowu;

b)Required to be provided according to laws and regulations or requirements of administrative, judicial, or other competent authorities;

c)The confidential information has been made public or can be obtained from the public domain without violating the responsibilities agreed in these terms.

10.Force Majeure

If due to any cause beyond the reasonable control of either party (including war, hostility or sabotage, disasters, acts of terrorism (including cyber terrorism), acts of God, epidemics, pandemics, power or telecommunications (including internet) interruptions, fire, explosion, earthquake, flood, severe storms, strikes, embargoes, labor disputes, quarantine, actions of civil or military authorities, acts or omissions of internet traffic operators, acts or omissions of regulatory or government agencies (including passage of laws, denial or cancellation of any export, import, or other licenses, or other government actions affecting any service delivery). Both parties will make reasonable efforts to mitigate the impact of any such force majeure event. If such event continues for more than thirty (30) days, either party may cancel unperformed services and affected orders after giving written notice. This Article 10 does not relieve either party of its obligation to take reasonable measures to follow its normal disaster recovery procedures, nor does it relieve you of your obligation to pay for services subscribed under these terms.

11.Applicable Law and Jurisdiction

11.1.The effectiveness, performance, interpretation, and dispute resolution of these terms shall be governed by the laws of the People's Republic of China. If any part of these terms is invalid due to conflict with current laws of the People's Republic of China, it shall not affect the validity of other parts. Both parties agree that when resolving disputes, the latest version of the "Qingcheng Zaowu Terms of Service" that you agreed to shall prevail.

11.2.If any dispute arises regarding the content or execution of these terms, it should be resolved through friendly negotiation as much as possible; if negotiation fails, all parties to the dispute unanimously agree to submit the dispute to the Shanghai Arbitration Commission for arbitration according to its arbitration rules. The arbitration award is final and binding on all parties.

12.TermsModification and Notification

12.1.Qingcheng Zaowu has the right to modify these terms based on changes in national policies, technical conditions, product functions, etc., and will publish the modified terms.

12.2.Once the aforementioned content is officially released, Qingcheng Zaowu will remind you of the updated content in appropriate ways (including but not limited to pop-ups, emails, site messages, website announcements, etc.) so that you can promptly understand the latest version of these terms.

12.3.The modified content will form an integral part of these terms, and you should comply with it accordingly. If you have objections to the modified agreement, please immediately stop logging in and using Qingcheng Zaowu and related services. If you log in or continue to use Qingcheng Zaowu and related services, it will be deemed that you have fully read, understood, and accepted the updated terms and are willing to be bound by the updated terms.
